1. Acceptance of Terms

Welcome to TuFlorecer ("Platform"), operated by TuFlorecer LLC ("Company," "we," "us," or "our"). By accessing or using our website, mobile applications, or any services offered through the Platform, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via the email address on file.

2. Description of the Platform

TuFlorecer is a patient management and marketing platform that connects users with independent licensed healthcare providers and affiliated professional entities for telehealth consultations related to medical weight management. TuFlorecer does not directly provide medical services, prescribe medications, or operate as a healthcare provider.

All clinical evaluations, medical decisions, and prescribing are performed solely by independent licensed physicians and practitioners who are contracted with or employed by affiliated professional entities that coordinate with TuFlorecer. These providers retain full and independent authority over all clinical decisions, including whether to prescribe medication.

TuFlorecer facilitates the coordination of healthcare services including: gathering health information, scheduling, payment processing, prescription fulfillment coordination, and technology support for connecting users with providers. Payment to TuFlorecer does not guarantee the issuance or dispensing of any prescription.

3. Eligibility

• You must be at least 18 years old to use the Platform.
• You must be a current resident of the United States.
• You must provide accurate and complete information during registration and throughout your use of the Platform.
• The Platform is not intended for use in medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency number immediately.

4. Medical Services Disclaimer

TuFlorecer is NOT a healthcare provider, medical practice, or pharmacy. The Platform is a technology and administrative service designed to connect you with independent licensed healthcare professionals. You do not establish a doctor-patient relationship with TuFlorecer by using the Platform. Your provider-patient relationship exists solely between you and the independent healthcare provider who evaluates your case.

The information provided on the Platform, including health and wellness content, is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always consult with a qualified healthcare provider regarding any medical conditions, medications, or treatment decisions.

TuFlorecer does not control or interfere with the provision of healthcare services by its affiliated providers and is not responsible for any clinical decisions made by those providers. Each provider is independently responsible for the care they deliver.

5. Compounded Medications

Medications prescribed through our affiliated providers may include compounded formulations (such as semaglutide in combination with vitamin B12/cyanocobalamin). Compounded medications are prepared by licensed 503A and/or 503B compounding pharmacies in FDA-regulated facilities. However, compounded medications are not FDA-approved products and have not been independently evaluated by the FDA for safety, efficacy, or quality in their compounded form.

The decision to use compounded medication is made by the prescribing provider based on their independent clinical judgment following a telehealth consultation and review of your medical history. We encourage you to discuss the specific risks and benefits of compounded medications with your provider. TuFlorecer does not manufacture, compound, or dispense any medications.

TuFlorecer is not affiliated with, endorsed by, or sponsored by Novo Nordisk or Eli Lilly. Compounded semaglutide medications offered through this Platform are not manufactured or approved by Novo Nordisk.

6. Subscription and Billing

Your subscription begins when you complete the enrollment process and submit payment. The subscription includes access to provider consultations, prescribed medications (where clinically appropriate), and ongoing patient support. Specific services covered may vary.

You will be charged the subscription fee displayed at checkout on a recurring monthly basis. Introductory pricing may apply to your first billing cycle, after which standard pricing takes effect. All prices are in US dollars. You will be automatically charged each billing cycle unless you cancel your subscription.

Subscription fees are processed through Stripe, our third-party payment processor. TuFlorecer does not store your full payment card information. By subscribing, you authorize recurring charges to your payment method on file.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting our support team at info@tuflorecer.com. Cancellation requests must be received at least 48 hours prior to your next billing date to avoid being charged for the subsequent cycle.

Upon cancellation, your subscription and access to services will continue through the end of your current paid billing period. No partial-month refunds will be issued.

If you are determined to be medically ineligible for treatment by an affiliated provider, you may be entitled to a full refund for that billing cycle. Contact our support team for assistance.

Federal law prohibits the return of prescription medications to pharmacies for refund or reuse. All medication sales are final once dispensed. Damaged or incorrect shipments should be reported to our support team for resolution with the pharmacy.

8. Financial Responsibility

All services through the Platform are provided on a direct-pay (cash-pay) basis. TuFlorecer and its affiliated providers are not contracted with any commercial health insurance plan, and are not enrolled with Medicare, Medicaid, or any other federal or state government healthcare program. You are solely responsible for all fees associated with your use of the Platform.

You understand and agree that you will not seek reimbursement from any health insurance plan or government program for services obtained through the Platform, and that payments made to TuFlorecer may not be applied toward insurance deductibles or out-of-pocket maximums.

9. Account Registration and Security

To use certain features of the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to immediately notify us of any unauthorized use of your account. TuFlorecer is not liable for any loss or damage arising from your failure to secure your account credentials.

10. Your Responsibilities

• You agree to provide truthful, accurate, and complete health and personal information. Providing false or misleading information may result in inappropriate treatment and could cause serious harm, including death.
• You are responsible for following all instructions provided by your healthcare provider, including dosage guidelines and follow-up care.
• You agree not to share, transfer, or sell any medications prescribed to you through the Platform.
• You acknowledge that the Platform is not a substitute for in-person medical care and does not replace your relationship with your primary care physician.
• You agree to seek immediate emergency medical attention if you experience severe side effects, allergic reactions, or any medical emergency.

11. Restrictions on Use

• You may not use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• You may not attempt to gain unauthorized access to any part of the Platform, other accounts, or any systems or networks connected to the Platform.
• You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.
• You may not use the Platform to transmit any harmful, threatening, abusive, or otherwise objectionable content.
• You may not use automated systems, bots, or scripts to access or interact with the Platform without our express permission.

12. Intellectual Property

All content, features, and functionality of the Platform — including text, graphics, logos, icons, images, software, and design — are owned by TuFlorecer LLC or its licensors and are protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use in connection with the services offered. This license does not include the right to modify, reproduce, distribute, or create derivative works from any Platform content.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Platform, you consent to the practices described in our Privacy Policy. Our Notice of Privacy Practices, which governs the use and disclosure of protected health information (PHI) in connection with healthcare services, is maintained separately by our affiliated clinical partners.

14. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TUFLORECER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND COMPLETENESS.

TuFlorecer does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. TuFlorecer does not make any representations or warranties regarding the results that may be obtained from the use of the Platform or any healthcare services coordinated through it.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TUFLORECER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY SERVICES OBTAINED THROUGH IT.

The total aggregate liability of TuFlorecer for any claims arising under or in connection with these Terms shall not exceed the greater of one hundred US dollars ($100.00) or the total amount you have paid to TuFlorecer in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless TuFlorecer LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Platform.

17. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be submitted to informal dispute resolution by contacting us at info@tuflorecer.com. The parties shall attempt to resolve the dispute informally for at least sixty (60) days before initiating arbitration.

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the National Arbitration and Mediation (NAM), in accordance with its rules then in effect. The arbitration shall be conducted in English or Spanish, at the election of the claimant, and shall take place remotely unless otherwise agreed.

CLASS ACTION WAIVER: YOU AND TUFLORECER AGREE THAT ANY DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one party without the written consent of all affected parties.

You may opt out of this arbitration provision by sending written notice to info@tuflorecer.com within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Wyoming.

18. Communications

By creating an account and providing your phone number, you expressly consent to receive communications from TuFlorecer and its affiliated providers via email, text message (SMS/MMS), and push notifications. These communications may include account updates, subscription reminders, treatment information, appointment notifications, and promotional offers.

Message frequency: You may receive up to 4 text messages per month related to your account and treatment. Promotional messages may be sent periodically.

To opt out of text messages at any time, reply STOP to any message. To opt out of promotional emails, click the unsubscribe link in any email. You may also contact info@tuflorecer.com to update your communication preferences.

For help with text messaging, reply HELP to any message or contact info@tuflorecer.com.

Message and data rates may apply depending on your mobile carrier plan. TuFlorecer is not responsible for any charges from your carrier.

Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your network.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

20. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

21. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and arbitration — shall remain in effect.
